This End User License Agreement (hereinafter referred to as the "License") is a binding legal instrument entered into between you, the individual or entity accepting these terms (the "Licensee," "you," or "your"), and Hasanudin, an individual under the trade name Cycle Chat (the "Licensor," "we," "us," or "our"). This License governs your installation, access to, and use of the Cycle Chat mobile software application, together with any updates, patches, documentation, and related services that may be provided to you from time to time (collectively, the "Software").
Your download, installation, or any use of the Software shall constitute your irrevocable acceptance of, and agreement to be legally bound by, all terms and conditions set forth in this License. If you do not consent to these terms, you must refrain from installing or using the Software and, should it already be installed, you must remove it from your device immediately.
In consideration of your acceptance of and continued compliance with this License, the Licensor hereby grants you a personal, limited, non-assignable, non-sublicensable, and revocable license to download, install, and operate one copy of the Software on a single mobile device that you own or control, solely for your private, non-commercial purposes and in strict accordance with this License.
This license does not constitute a sale of the Software. The Licensor retains all right, title, and interest in and to the Software, including all copies, modifications, translations, compilations, and derivative works thereof, whether made by you or the Licensor. Nothing in this License shall be construed as conferring upon you any ownership rights or any license under any patents, copyrights, trade secrets, trademarks, or other intellectual property rights of the Licensor except as expressly granted herein.
The rights granted to you under Covenant I are subject to the following conditions and restrictions, the violation of any of which shall constitute a material breach of this License:
First. You shall not alter, adapt, translate, reverse compile, reverse engineer, disassemble, decompile, decrypt, or otherwise attempt to discover or derive the source code, object code, underlying structure, ideas, algorithms, or trade secrets of the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
Second. You shall not distribute, license, sell, lease, rent, lend, sublicense, transfer, or otherwise convey the Software or any portion thereof to any third party, nor shall you use the Software on behalf of any third party or for time-sharing, service bureau, or application service provider purposes.
Third. You shall not remove, obscure, or alter any proprietary notices, legends, or marks that appear on or within the Software, including copyright notices, trademarks, or logos.
Fourth. You shall not use the Software for any purpose that is unlawful, harmful, threatening, defamatory, obscene, or otherwise objectionable, or that infringes upon the rights of any person or entity, including intellectual property rights.
Fifth. You shall not attempt to gain unauthorized access to, interfere with, damage, or disrupt any servers, networks, or databases connected to the Software, nor shall you circumvent, disable, or otherwise interfere with any security-related features of the Software.
The Software incorporates artificial intelligence capabilities that enable you to interact with AI-generated conversational content, create or customize virtual characters, and generate various forms of media. Your use of these features is subject to the following understandings:
You acknowledge that all AI-generated content, including but not limited to text responses, character dialogue, images, and audio outputs, is generated by machine learning models and does not represent the views, opinions, or guarantees of the Licensor. Such content may, on occasion, be inaccurate, incomplete, offensive, or otherwise unsuitable for your purposes. You agree that any reliance upon AI-generated content is at your sole discretion and risk.
You retain any intellectual property rights you may hold in the original content, prompts, or creative inputs that you submit to the Software. By submitting such materials, you grant the Licensor a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, display, and distribute such materials solely for the purpose of operating, improving, and providing the Software's services.
You are solely responsible for any content you create, upload, publish, or share through the Software, including custom character configurations and chat outputs. The Licensor does not pre-screen user-generated content and assumes no responsibility for its accuracy, legality, or appropriateness.
All intellectual property rights in and to the Software, including but not limited to patents, copyrights, trademarks, trade dress, trade secrets, and know-how, are and shall remain the exclusive property of the Licensor and its licensors. The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.
Any characters you create using the Software's character creation tools remain your property as between you and the Licensor, subject to the license you grant us under Covenant III. However, the Licensor retains all rights to the underlying software, AI models, algorithms, and technology used to generate content.
All trademarks, service marks, logos, and trade names displayed in or through the Software are proprietary to the Licensor or their respective owners. No right or license to use any such marks is granted to you under this License. Any goodwill generated through your use of the Licensor's marks shall inure solely to the benefit of the Licensor.
This License shall remain in effect from the date of your initial acceptance until terminated in accordance with this Covenant. Either party may terminate this License at any time. You may terminate this License by discontinuing all use of the Software and deleting all copies from your devices.
The Licensor reserves the right, in its sole discretion and without prior notice, to suspend or terminate your license and access to the Software if you breach any provision of this License, if such action is required by law, or if the Licensor determines that your use poses a security risk or potential legal liability. Upon termination for any reason, all rights granted to you shall immediately cease, and you must promptly uninstall the Software and destroy all copies in your possession.
The Licensor also reserves the right to discontinue the Software or any feature thereof at any time without liability. Should the Licensor elect to discontinue the Software, this License shall automatically terminate, and you shall cease all use and destroy all copies.
THE SOFTWARE IS PROVIDED TO YOU ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR TRADE USAGE.
THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY THE LICENSOR OR ITS REPRESENTATIVES SHALL CREATE ANY WARRANTY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR, ITS AFFILIATES, LICENSORS, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SOFTWARE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The Licensor reserves the right, at any time and in its sole discretion, to modify, supplement, or replace any provision of this License. Material changes will be communicated to you through the Software interface, electronic mail, or by posting the revised License on our website. Your continued use of the Software following the effective date of any such changes constitutes your binding acceptance of the revised License. If you do not agree to the modified terms, your sole remedy is to cease using the Software and uninstall it from your devices.
This License shall be governed by and construed in accordance with the laws of the jurisdiction in which Hasanudin is domiciled, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to this License, including its formation, interpretation, breach, termination, or validity, shall first be subject to good faith negotiations between the parties. If such negotiations fail to resolve the dispute within thirty (30) days, either party may pursue available remedies before the competent courts of said jurisdiction.
You agree that any legal action or proceeding shall be conducted solely on an individual basis and not in a class, consolidated, or representative action. You hereby waive any right to participate in class actions or class-wide arbitration.
